INTERNATIONAL INVESTMENT INFORMATION REPORT

International investors who make direct investment to establish enterprises or partnership enterprises in China, international enterprises engaged in production and business activities in China, and international enterprises establishing resident representative offices engaged in production and business activities in China shall submit initial reports and change reports online through the enterprise registration system in accordance with the provisions of the Measures for Reporting International Investment Information.

1.Initial Reports

When establishing an international-invested enterprise in China or acquiring a domestic non-internation- al-invested enterprise by equity, an international investor shall submit an initial report through the enterprise registration system when registering the establishment of an international-invested enterprise or handling the change registration of the acquired enterprise.
2.Information Change Reports
If the information in the initial report changes and involves the registration (filing) of enterprise change, the international-invested enterprise shall submit the change report through the enterprise registration system when handling the registration (filing) of enterprise change. If it does not involve enterprise change registration (filing), the international-invested enterprise shall submit the change report through the enterprise registration system within 20 working days after the change occurs. If the enterprise makes a resolution on the alteration according to the articles of association, the time when the resolution is made shall be the time when the change occurs; If there are other requirements for the effective conditions of the change in laws and regulations, the time to meet the corresponding requirements shall be the time when the change occurs. International-invested listed companies and companies listed in the national share transfer system for small and medium-sized enterprises can report the change information of investors and their shares only when the change of international investors’shareholding ratio exceeds 5% or causes the change of international holding and relative holding status.

3.Ways of Information Reporting
